Welcome to MirAPI!
MirAPI products and services are owned and operated by Benxi HengFeng Network Technology Co., Ltd. (hereinafter referred to as “MirAPI,” “we,” “us,” or “our”). Before using the Services (as defined below), please make sure to carefully read and understand these “MirAPI Terms of Use” (hereinafter referred to as “these Terms”), as well as other related terms, policies, or guidelines of this platform. When you use a specific function of the Services, there may be separate terms, related business rules, etc. (“Specific Terms”) for that specific function. In the event of any conflict between these Terms and the Specific Terms, the provisions of the Specific Terms shall prevail with respect to that function. All the aforementioned terms and rules form an integral part of these Terms (collectively referred to as “All Terms”) and have the same legal effect as the main text of these Terms.
For detailed rules on how we collect, protect, and use personal information, please carefully read the MirAPI Privacy Policy, which is incorporated by reference into, and forms a part of, these Terms.
We especially remind you to carefully read (minors under the age of 18, or the minimum age required in your country, shall read together with their legal guardian) and fully understand all the terms before using the Services. When you agree to these Terms through online page clicks or checking boxes, or when you access or use the Services, it means you and we have reached an agreement on All Terms, you have accepted All Terms and their applicable conditions, and you agree to be bound by All Terms. If you disagree with any part of these Terms, or cannot accurately understand the meaning of any term, please click “disagree” or stop using the Services.
If you are using the Services on behalf of an entity, organization, or company, you represent and warrant that you have the authority to bind that organization to these Terms, and you agree to be bound by these Terms on behalf of that organization.
1. Services
1.1 MirAPI’s products and services include those provided to you through websites, applications (which may include different versions), software development kits (SDKs) for third-party websites and applications, application programming interfaces (APIs), and innovative forms that emerge with technological development (collectively, the “Services”). At their core, the Services constitute an artificial intelligence model aggregation and routing platform: through a unified API and related interfaces, the Services enable you to access a variety of third-party generative artificial intelligence models listed on the platform (“Models”) that are developed, hosted, and operated by third-party model developers, providers, or their hosting partners (“Model Providers”).
1.2 The Services function as an intermediary and routing layer. When you submit information to the Services (including text, images, files, and other supported formats, referred to as “Inputs”), the Services transmit your request to the Model you select — or to a Model determined by the routing preferences and fallback configurations you set — and return to you the content generated by that Model in response (referred to as “Outputs”), which may include text, tables, images, and code. MirAPI does not itself develop or train the underlying foundation Models made available through the Services; the Models are provided by the respective Model Providers.
1.3 MirAPI may add Models to or remove Models from the Services at any time. MirAPI does not guarantee the availability of any particular Model and provides access to Models only on an “as-available” basis. Model uptime, latency, performance, and data-handling practices depend on the applicable Model Provider, as further described in Section 4.
1.4 As generative artificial intelligence technology, models, and products continue to evolve, along with changes in laws and regulations, we may add, upgrade, modify, suspend, or terminate the Services or any part thereof, or make necessary adjustments to the technology, methods, and performance of the Services, and may conduct internal or external testing for new service features. If such changes may greatly affect your rights, we will promptly notify you through in-site notifications, website announcements, or via email.
1.5 MirAPI will take necessary measures (not less than industry practices) to ensure the cyber security and stable operation of the Services. We will also make efforts to enhance and improve technology to ensure a better user experience. If you have any questions or feedback about our Services, you can contact us through the methods described in Section 15.
1.6 We make no warranty that the Services are available or will continue to be available in certain jurisdictions. The functions or features of the Services, and the Models accessible through them, may vary in different jurisdictions.
2. Account
2.1 The Services are primarily intended for adults. If you are under 18 years old or the minimum age required in your country, please read these Terms with your legal guardian and use the Services only with the consent of your legal guardian. MirAPI fully understands the importance of protecting minors and will take corresponding protective measures in accordance with legal requirements and industry mainstream practices.
2.2 Before using the Services, you shall register an account using your email or a third-party account as per the page instructions. You must provide accurate, truthful, legal, and valid information as required and confirm your agreement to these Terms and other related rules and policies. If the materials or information you submit are inaccurate, untrue, incomplete, or irregular, or if there is reason for us to suspect them to be incorrect, false, or illegal, we reserve the right to refuse to provide you with related functions. As a result, you may be unable to use the Services or may face restrictions on certain functions during use. In such cases, we will offer an opportunity for you to explain or object. If we determine that your explanation or objection is valid, we will restore your access to the Services without unreasonable delay. Your account is your credential for logging in and using the Services. The account is non-transferable, non-giftable, and non-inheritable.
2.3 When you register and use an account, you must commit and guarantee that you will:
- Take full responsibility for the authenticity, legality, and validity of the registration information, update the registration information promptly, and not register an account or use the Services on behalf of others without authorization.
- Safely keep your account and password and take legal responsibility for all activities under that account.
- Not maliciously register accounts, including but not limited to frequent or bulk registration, and not create a false identity, misrepresent your identity, or create multiple accounts for the purpose of bypassing or circumventing usage limits, rate limits, or restrictions on the Services.
- Not transfer, lend, rent, sell, or provide your account to others in any form.
2.4 If you lose your account, forget your password, or leak your verification code, you can follow the applicable procedure to appeal for recovery in a timely manner. We especially remind you to properly safeguard your account, password, and verification code, and to log out securely after use. You will bear full responsibility for any losses caused by the leakage of your account or password, except where the loss is caused by our intentional or grossly negligent conduct. If you discover any unauthorized use of your account, you shall immediately notify us at support@mirapi.ai, and we will use commercially reasonable efforts to provide cooperation and assistance.
2.5 API Credentials. You are responsible for maintaining the confidentiality and security of all API keys, tokens, passwords, and other credentials used to access the Services (“API Credentials”). You are responsible for all activity and charges incurred under your account or API Credentials, whether or not authorized by you, except to the extent caused directly by MirAPI’s breach of these Terms. You agree to promptly notify MirAPI of any actual or suspected compromise or unauthorized use of API Credentials. MirAPI may suspend, revoke, or limit API Credentials or account access if MirAPI reasonably believes doing so is necessary to protect the Services, you, MirAPI, or any third party.
2.6 Under the agreed conditions, you have the option to discontinue the use of the Services, terminate the contract with us, and delete your account in accordance with Section 13. However, even after you delete the account, we still have the right to:
- Retain certain data of yours as required by laws and regulations.
- Exercise the rights stipulated in these Terms with respect to any illegal or violating behavior committed by you during your use of the Services before deletion.
3. Fees, Credits, and Payment
3.1 Pre-Paid Credits. Access to the Services, or to certain features of the Services, requires you to pay fees for pre-paid credits that are linked to your account (“Credits”), along with any applicable payment processing fees and transaction fees. Your usage of the Services (including API calls to Models) is metered, and the corresponding fees are deducted from your Credit balance according to the per-model prices published on the platform, which may be based on tokens processed, requests made, or other units stated on the applicable pricing page. Before you pay any fees, you will have an opportunity to review and accept the fees that you will be charged. Minimum and maximum purchase amounts per transaction may apply and will be displayed at the time of purchase.
3.2 Refunds. Once purchased, refunds for unused Credits may be requested within twenty-four (24) hours from the time the transaction was processed. If no refund request is received within twenty-four (24) hours following the purchase, any unused Credits become non-refundable, except as provided in Section 13.3 or as required by applicable law. To request a refund within the eligible period, you must submit a refund request by email to support@mirapi.ai. Each refund is subject to a handling fee of five US dollars (USD $5) per refunded transaction. The unused Credit amount, less the handling fee, will be refunded to your original payment method; payment processing fees and platform fees are non-refundable. If cryptocurrency payments are accepted on the platform, cryptocurrency payments are never refundable.
3.3 Credit Validity; Dormant Accounts. Purchased Credits do not expire. However, if no new Credit purchase is recorded on your account for three hundred sixty-five (365) consecutive days, your account will be classified as a dormant account (“Dormant Account”). We will notify you by email at your registered email address before your account is classified as a Dormant Account. For each month during which your account remains a Dormant Account, a dormant account management fee of ten US dollars (USD $10) will be deducted from the remaining Credit balance of the account, until the balance is exhausted or the account ceases to be dormant. The management fee for any month will not exceed the then-remaining Credit balance, and will not result in any negative balance or debt owed by you. An account ceases to be a Dormant Account when a new Credit purchase is made on the account.
3.4 Promotional Credits. MirAPI may, in its discretion, provide Credits to you free of charge as part of a promotional program, trial, or similar offering (“Promo Credits”). Promo Credits may only be used on the Services, have no cash value, are not legal tender, are non-refundable and non-exchangeable, and the refund rights described in Section 3.2 do not apply to Promo Credits. Promo Credits are personal to your account and are non-transferable. Promo Credits expire on the date specified when issued; if no expiration date is specified, Promo Credits remain valid subject to the Dormant Account provisions of Section 3.3. MirAPI may modify, suspend, or revoke Promo Credits at any time, provided that such changes do not retroactively reduce or invalidate the value of Promo Credits already issued and unexpired, except as permitted by law. If your account contains both purchased Credits and Promo Credits, MirAPI may determine the order in which those Credits are applied when you use the Services.
3.5 Nature of Credits. Credits are not legal tender or currency, have no equivalent value in fiat currency, do not act as a substitute for fiat currency, and do not constitute or confer any personal property right. Credits are not redeemable, refundable, or exchangeable for any sum of money or monetary value, except for (i) the refunds described in Section 3.2, (ii) the refund of remaining purchased Credits upon termination described in Section 13.3, or (iii) as required by applicable law. Credits are non-transferable, including between accounts, and may be used only in connection with the Services.
3.6 Payment Processing. MirAPI will charge the payment method you specify at the time of purchase. You authorize MirAPI to charge all sums as described in these Terms, for the Services you select, to that payment method. Payments are processed through third-party payment processors designated on the platform, and your use of such payment methods is additionally subject to the applicable processor’s terms and conditions. The currency of the transaction will be displayed at the time of purchase. If you pay using cryptocurrency (where available), you represent and warrant that the cryptocurrency and the source of funds for the cryptocurrency you use do not constitute the proceeds of a financial crime or any other crime under applicable law.
3.7 Changes to Fees. Model prices published on the platform reflect, among other factors, the prices charged by the applicable Model Providers, and may be updated from time to time; the price in effect at the time a request is processed applies to that request. If MirAPI changes the fee structure of the Services, including by introducing new fees or charges, MirAPI will provide you advance notice of those changes. If you do not accept the changes, you should stop using the Services, and MirAPI may discontinue providing the Services to you.
3.8 Taxes. Unless otherwise stated, fees do not include any taxes, levies, duties, or similar governmental assessments (“Taxes”). You are responsible for all Taxes associated with your purchases, excluding taxes based on MirAPI’s net income.
4. Third-Party Models and Model Terms
4.1 Applicability and Acceptance. You acknowledge that the Services enable you, your end users, and your customers (to the extent you incorporate the Services into your own products and services, or act as an authorized reseller under Section 5.6) to access Models provided by Model Providers. By accessing or using any Model through the Services, you agree, and will ensure that your end users and customers agree, to comply with the applicable license terms, terms of use, and acceptable use policies for each Model (“Model Terms”). You are solely responsible for reviewing the Model Terms applicable to each Model before accessing or using that Model, and for determining whether the applicable Model Terms allow you and your end users to access and use the Services, Inputs, and Outputs as you intend.
4.2 Flow-Down to End Users and Customers. You will require that all of your end users and customers access and use the Services and Models only in accordance with these Terms, any documentation provided by MirAPI, and the applicable Model Terms. You will be responsible for all acts and omissions of your end users and customers, including any violation of applicable Model Terms.
4.3 Changes to Model Terms. Model Terms may be modified, supplemented, or replaced from time to time by the applicable Model Provider. Your continued access to or use of a Model after the Model Terms for that Model are updated constitutes your acceptance of such updated Model Terms. If you do not agree to the updated Model Terms, you should not access or use the applicable Model. While we strive to keep references to Model Terms up to date, there may be inaccurate, incorrect, or missing terms; MirAPI is not liable for errors or omissions in any Model Terms as displayed or linked on the platform, and you are encouraged to review the Model Terms published by the applicable Model Provider directly.
4.4 Availability. MirAPI does not guarantee the availability of any Model and provides you with access to Models only on an “as-available” basis. Model uptime, performance, rate limits, and data practices are determined by the applicable Model Provider, and it is your responsibility to review the applicable Model Terms and documentation to understand the availability and data practices of each Model Provider.
4.5 Suspension and Termination by Model Providers. You are solely responsible for any violation by you, your end users, or your customers of applicable Model Terms. MirAPI may suspend, restrict, disable, or terminate your, your end users’, or your customers’ access to any Model if we reasonably believe that a violation of Model Terms has occurred or may occur, or if we are required or requested to do so by the applicable Model Provider. Each Model Provider retains sole control over access to its Model. While we will use commercially reasonable efforts to provide advance notice of any suspension, restriction, disabling, or termination of access to any Model, we cannot guarantee advance notice in all circumstances. MirAPI disclaims all liability for any suspension, restriction, disabling, termination, removal, unavailability, degradation, or modification of any Model arising from or related to Model Terms or the acts or omissions of any Model Provider.
4.6 Configuration and Model Selection. You are solely responsible for selecting the Models you use, configuring your account settings and routing preferences, setting permissions and restrictions for your end users and customers, and determining whether each Model and the applicable Model Terms are appropriate for your use case, including any regulated, high-risk, sensitive, or customer-facing use.
4.7 Restricted Models. Certain Model Providers do not authorize users who (i) act on behalf of certain entities or organizations, or (ii) are located in certain countries or regions, to access their Models, as described in their Model Terms and documentation (“Restricted Models”). You may not access Restricted Models through the Services where such access is not authorized. Model Providers may modify their restrictions at any time, with or without notice to you or to MirAPI. You agree not to, and will not allow your end users or customers to: (a) use the Services — alone or in conjunction with any third-party tools, including virtual private networks and proxies — to access Restricted Models in an unauthorized manner; or (b) circumvent safeguards or measures implemented by MirAPI or Model Providers designed to restrict access to Restricted Models. Any breach of this Section 4.7 is a material breach of these Terms and may result in immediate suspension and/or termination of your access to the Services.
4.8 Conflicts. As between you and MirAPI, these Terms govern the parties’ rights and obligations with respect to the Services. The applicable Model Terms govern your, your end users’, and your customers’ access to and use of the applicable Model to the extent required by the applicable Model Provider. MirAPI does not modify, waive, or limit any Model Terms unless expressly stated in writing.
4.9 Provider Requirements. You will promptly provide any information, certifications, notices, consents, or other materials reasonably requested by MirAPI to confirm or support your compliance with applicable Model Terms. Your failure to provide such information may result in suspension or restriction of access to the applicable Model or the Services.
5. Requirements and Restrictions
5.1 You fully understand and agree that, under these Terms, we grant you a limited, revocable, non-transferable, and non-exclusive right to legally use the Services. All other rights not expressly authorized by these Terms are reserved by MirAPI, and before exercising such rights, you must obtain written permission from MirAPI. MirAPI’s failure to exercise any of these rights does not constitute a waiver of those rights. If you publish or disseminate Outputs generated through the Services, you must: (1) proactively verify the authenticity and accuracy of the Output content to avoid spreading false information; (2) clearly indicate that the Output content is generated by artificial intelligence, to alert the public to the synthetic nature of the content; and (3) avoid publishing or disseminating any Output content that violates the usage requirements of these Terms or the applicable Model Terms.
5.2 When using the Services, you shall comply with these Terms and adhere to the principles of voluntariness, equality, fairness, and good faith. You shall not use the Services to engage in, facilitate, or promote any activities violating laws or regulations, infringing on the legal rights or interests of others, or seeking unjust benefits, nor shall you disrupt the normal order of the internet platform.
5.3 To fulfill legal and compliance requirements, MirAPI has the right to use technical means to review the behavior of users using the Services, including but not limited to establishing risk filtering mechanisms and creating databases for illegal content features. MirAPI is under no obligation to pre-screen Inputs, but may at any time screen, remove, or block any Inputs or requests that in our reasonable judgment violate these Terms, applicable Model Terms, or applicable law.
5.4 You will not use the Services to generate, express, or promote content or a chatbot that:
- is hateful, defamatory, offensive, abusive, tortious, or vulgar;
- is deliberately designed to provoke or antagonize another, or is bullying or trolling another;
- may harass, intimidate, threaten, harm, hurt, scare, distress, embarrass, or upset another;
- is discriminatory, such as discriminating against another based on race, gender, sexuality, religion, nationality, disability, or age;
- is pornographic, obscene, or sexually explicit (e.g., sexual chatbots);
- facilitates, promotes, incites, or glorifies violence or terrorist/extremist content;
- exploits, harms, or attempts to exploit or harm minors, or exposes minors to such content;
- is designed to specifically appeal to, or present a persona of, any person under the age of 18 or the minimum age required in your country;
- constitutes, encourages, or provides instructions for a criminal offense; or
- impersonates or is designed to impersonate a celebrity, public figure, or a person other than yourself without clearly labeling the content or chatbot as “unofficial” or “parody,” unless you have that person’s explicit consent.
5.5 You will not violate any applicable law, nor interfere with, damage, or attack the Services, systems, networks, Models, and other components that support the normal operation of the Services. You will not engage in activities that endanger the security of the Services, including:
- Engaging in illegal activities involving network intrusion, such as: using unauthorized data or accessing unauthorized servers/accounts; forging TCP/IP packet names or partial names; or attempting to probe, scan, or test vulnerabilities in the software system or network without permission.
- Engaging in activities that disrupt or damage the normal operation of the network, such as: intentionally generating or spreading malicious programs or viruses; or entering public computer networks or other people’s computer systems without permission and deleting, modifying, or adding stored information.
- Engaging in activities to steal network data, such as: reverse engineering, reverse assembly, reverse compilation, translation, or attempting to discover the source code, models, algorithms, system source code, or underlying components of the Services in any way; or capturing or copying any content of the Services, including but not limited to using any robots, spiders, scrapers, browser plug-ins, or other automated means, or setting up mirrors, or bypassing any technical measures implemented by MirAPI that are designed to prevent scraping.
- Interfering with security-related features of the Services, including by disabling or circumventing features that prevent or limit use or copying of any content, or interfering with or disrupting any network, equipment, or server connected to or used to provide the Services.
- Engaging in other activities that endanger the Services’ systems, networks, Models, and other components.
5.6 You will not use the Services for the following improper purposes:
- Using the Services for any illegal purposes that violate laws and regulations or regulatory policies, or that infringe on the legitimate rights and interests of third parties.
- Using the Services for dangerous purposes that may have serious harmful impacts on physical health, psychology, society, or the economy, or that violate scientific and technological ethics.
- Engaging in activities that infringe on intellectual property rights or trade secrets, or other violations of business ethics, or using algorithms, data, platforms, etc., to implement monopolistic or unfair competition behaviors.
- Without MirAPI’s prior written authorization, copying, transferring, leasing, lending, selling, sub-licensing, or reselling the whole or any part of the Services. In particular, reselling API access obtained through the Services — including by operating a downstream relay, proxy, or aggregation service — is permitted only where you have applied for and received MirAPI’s prior written authorization (applications may be submitted to support@mirapi.ai); any unauthorized resale is prohibited and constitutes a material breach of these Terms.
- Performing any fraudulent activity, including impersonating any person or entity, claiming a false affiliation, accessing any other account on the Services without permission, or falsifying your age or date of birth.
- Making any unsolicited offer or advertisement to another user of the Services, or attempting to collect personal information about another user or third party without consent.
- Purchasing Credits with cryptocurrency where the source of funds constitutes the proceeds of a financial or other crime under applicable law.
- Other uses prohibited or restricted by laws and administrative regulations, or that may harm MirAPI’s rights and interests.
You will also not attempt to engage in, or assist or permit any person to engage in, any of the conduct prohibited by this Section 5.
5.7 Red Teaming Prohibited. “Red Teaming” means prompt injection, jailbreaking, penetration testing, vulnerability probing, or taking any other adversarial action designed to compromise, circumvent, or test the safety or security measures of the Services or of any Model, or to violate any Model Terms. Red Teaming is strictly prohibited on the Services, whether for research or any other purpose. Red Teaming activity may be flagged by MirAPI’s and Model Providers’ monitoring systems and will result in suspension or termination of your account and access by MirAPI and/or the applicable Model Providers, and may be reported to the competent authorities in accordance with the law.
6. Inputs and Outputs
6.1 You are responsible for all Inputs you submit to the Services and the corresponding Outputs. By submitting Inputs to the Services, you represent and warrant that you have all rights, licenses, and permissions that are necessary for us and the applicable Model Providers to process the Inputs under these Terms. You also represent and warrant that your Inputs and the corresponding Outputs will not violate these Terms, the applicable Model Terms, or any laws or regulations applicable to those Inputs and Outputs, and that your Inputs and their use as contemplated by these Terms do not and will not: (i) infringe, violate, or misappropriate any third-party right, including any copyright, trademark, patent, trade secret, moral right, privacy right, right of publicity, or any other intellectual property or proprietary right; (ii) slander, defame, libel, or invade the privacy, publicity, or other property rights of any other person; or (iii) cause MirAPI to violate any law or regulation.
6.2 Subject to applicable law, these Terms, and the applicable Model Terms, you have the following rights regarding the Inputs and Outputs of the Services: (1) you retain any rights, title, and interests — if any — in the Inputs you submit; (2) as between you and MirAPI, MirAPI assigns to you any rights, title, and interests — if any — that it may hold in the Outputs of the Services. Due to the nature of the Services and artificial intelligence generally, Outputs may not be unique, and other users may receive similar Outputs; the assignment above does not extend to other users’ Outputs. You acknowledge that your ownership of, and permitted uses for, Outputs generated by a particular Model may additionally be addressed by the applicable Model Terms, and it is your responsibility to review them. (3) Subject to the foregoing, you may apply the Inputs and Outputs to a wide range of use cases, including personal use, academic research, derivative product development, and integration into your own applications, as long as such usage is legal and adheres to these Terms and the applicable Model Terms.
6.3 Processing License. By submitting Inputs to the Services, you grant MirAPI a non-exclusive, worldwide, royalty-free license to host, cache, store, reproduce, transmit, and process your Inputs and Outputs solely as necessary to operate and provide the Services, including to: (a) transmit your Inputs to, and receive Outputs from, the Model Providers you access; (b) temporarily store Inputs and Outputs where required to process, route, and fulfill your requests (for example, batch or large-volume request processing); and (c) maintain the security of the Services, prevent abuse, troubleshoot issues, and comply with applicable legal obligations. You understand that Inputs transmitted to Model Providers, and the Outputs they generate, are processed by those Model Providers under their own Model Terms and privacy policies. Some Model Providers may store, retain, or train on Inputs as described in their Model Terms; MirAPI does not control and is not responsible for Model Providers’ data practices, and you are encouraged to review the applicable Model Terms before selecting a Model.
6.4 Data Retention. By default, MirAPI retains account information and usage metadata (such as timestamps, model selection, token counts, request status, and billing records) necessary to operate, meter, bill, and secure the Services and to comply with legal obligations, with retention as described in the MirAPI Privacy Policy. MirAPI does not persistently store the content of your Inputs and Outputs beyond the temporary processing described in Section 6.3, and does not use your Inputs or Outputs to train generative AI models.
6.5 Outputs may include information from third-party websites or other external sources. We are not responsible for the validity of such content, nor do we guarantee the authenticity, legality, or security of any content, products, services, or other materials obtained through these channels. Links to third-party websites that may appear in Outputs are provided for informational purposes only, and we disclaim all liability for their content, services, or practices. Your use of any such link is undertaken at your sole discretion and risk, and it is your responsibility to evaluate the third party’s terms, protect your data, and secure your property when engaging with these external resources.
6.6 Location of Originating Requests. We strive to accurately provide to Model Providers the country of your originating request where required. However, due to limitations of currently available technology, it is not always possible to accurately represent your country of origin, and this limitation may affect your ability to use certain Models. You understand and agree that MirAPI is not responsible for any incorrect location reporting to Model Providers.
7. AI-Generated Content
7.1 Any and all Outputs provided through the Services are generated by the applicable Models and shall not constitute MirAPI’s legal declaration of intent, nor shall the Outputs represent MirAPI’s views or opinions in any event. If any Output references any third-party products or services, this does not mean that MirAPI endorses that Output. The Outputs may contain errors or omissions and are for your reference only. You should NOT treat any Outputs as professional advice. In particular, when using the Services to consult on medical, legal, financial, and other professional issues, please note that the Outputs do not constitute any advice or commitment, nor do they represent opinions in any professional field. If you require related professional services, you should consult professionals and make decisions under their guidance. The Outputs of the Services shall not form the basis for your further actions or omissions. You are solely and independently responsible for any decisions or actions you take based on any Outputs, as well as for any consequences that follow.
7.2 Retrieval, search, or grounding features, where enabled, may improve the accuracy of Outputs to some extent. However, limited by current technical capabilities, inaccuracy in AI-generated content is a common industry-wide issue and cannot be entirely avoided. Therefore, please use the Services rationally and in accordance with these Terms.
7.3 To prevent confusion and reduce the potential impact of inaccurate generated information, MirAPI may add labels within the platform to explicitly remind users that content is AI-generated. You shall not delete, alter, forge, conceal, or attempt to circumvent such labels, nor use the Services to produce or disseminate false information or infringing information, or engage in any illegal or non-compliant activities.
7.4 Given that Outputs may contain incorrect, incomplete, or inaccurate content, if you use Outputs for any purpose that could have a legal or material impact on natural persons — such as making credit, educational, employment, housing, insurance, legal, medical, or other important decisions about them — such Outputs shall undergo human review, and you shall bear sole and independent responsibility for the corresponding consequences.
8. Intellectual Property
8.1 MirAPI is the developer and operator of the Services and holds, within the scope permitted by laws and regulations, all rights in the Services (including but not limited to software, technology, programs, code, user interfaces, web pages, text, graphics, layout designs, trademarks, electronic documents, data compilations, and other materials provided by MirAPI), including but not limited to copyrights, trademark rights, patent rights, and other intellectual property rights. This excludes rights that relevant rights holders are entitled to under legal provisions or under these Terms (such as Inputs and Outputs), and excludes the Models and related technology, model weights, and materials of Model Providers, which are the property of the respective Model Providers or their licensors.
8.2 Without our permission, you or your end users shall not use any trademarks, service marks, trade names, domain names, website names, company logos, URLs, or other prominent brand features related to the Services, including but not limited to “MirAPI,” in any way, either singly or in combination. You are not allowed to display, use, or apply for registration of trademarks, domain names, etc., related to the aforementioned identifiers in any way, and you shall not perform acts that expressly or implicitly indicate to others the right to display, use, or otherwise deal with these identifiers, except as permitted by relevant law and licensed by MirAPI. Nothing in these Terms grants you any rights in the trademarks or brand features of any Model Provider.
9. Complaints and Feedback
If you believe that the Services infringe on your intellectual property rights or other rights, or if you find any illegal or false information or behaviors that violate these Terms, or if you have any comments or suggestions about the Services, you can submit them through the contact methods provided in Section 15. We take your opinions seriously and will take appropriate action in accordance with the law. If you choose to provide input or suggestions regarding problems with, or proposed modifications or improvements to, the Services (“Feedback”), you agree that we may use the Feedback without restriction or compensation to you, including to improve the Services and to create other products and services.
10. Privacy
10.1 Please read the MirAPI Privacy Policy carefully for information relating to our collection, use, storage, and disclosure of your personal information. The MirAPI Privacy Policy is incorporated by reference into, and made a part of, these Terms.
10.2 You understand that in order to provide the Services, your Inputs must be transmitted to the Model Providers whose Models you access, and their processing of such data is governed by their own terms and privacy policies, as described in Section 6.3.
10.3 By using the Services, you consent to receiving service-related electronic communications from us (such as notices regarding your account, transactions, security, and changes to these Terms). You agree that any notices, agreements, disclosures, or other communications that we send to you electronically will satisfy any legal communication requirements, including the requirement that such communications be in writing.
11. Disclaimer of Warranties, Limitations of Liability, and Indemnity
11.1 NOTHING IN THESE TERMS SHALL AFFECT ANY STATUTORY RIGHTS THAT YOU CANNOT CONTRACTUALLY AGREE TO ALTER OR WAIVE AND ARE LEGALLY ALWAYS ENTITLED TO AS A CONSUMER.
11.2 THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, AND WE MAKE NO WARRANTY, REPRESENTATION, OR CONDITION TO YOU WITH RESPECT TO THEM, WHETHER EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY IMPLIED TERMS AS TO SATISFACTORY QUALITY, MERCHANTABILITY, FITNESS FOR PURPOSE, OR CONFORMANCE WITH DESCRIPTION. IN PARTICULAR, WE DO NOT REPRESENT OR WARRANT TO YOU:
- THAT YOUR USE OF THE SERVICES WILL MEET YOUR REQUIREMENTS;
- THAT YOUR USE OF THE SERVICES OR ANY PART THEREOF WILL BE UNINTERRUPTED, TIMELY, SECURE, OR FREE FROM ERROR;
- THAT ANY OUTPUT OR OTHER INFORMATION OBTAINED BY YOU AS A RESULT OF YOUR USE OF THE SERVICES WILL BE ACCURATE, UP-TO-DATE, RELIABLE, NON-INFRINGING, OR SECURE, OR WILL BE SUITABLE FOR ANY PARTICULAR PURPOSE, INCLUDING WITHOUT LIMITATION ANY REGULATED, HIGH-RISK, SAFETY-CRITICAL, LEGAL, MEDICAL, FINANCIAL, EMPLOYMENT, OR CUSTOMER-FACING USE;
- THAT DEFECTS IN THE OPERATION OR FUNCTIONALITY OF THE SERVICES WILL BE CORRECTED;
- THAT ANY MODEL WILL REMAIN AVAILABLE, OR WITH RESPECT TO ANY MODEL PROVIDER’S DATA HANDLING, RETENTION, TRAINING, SECURITY, AVAILABILITY, UPTIME, OR INTELLECTUAL PROPERTY PRACTICES; OR
- WITH RESPECT TO ANY OTHER THIRD-PARTY OFFERINGS.
11.3 Unless otherwise agreed, neither MirAPI nor you shall be liable for the other’s incidental, consequential, punitive, special, or indirect losses or damages, including but not limited to the loss of profits, data, or goodwill, unless such losses or damages result from its own intentional or grossly negligent conduct. This limitation applies irrespective of any claim brought under breach of contract, tort, compensation, or any other legal grounds, even if the party was informed of the possibility of such losses. OUR AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE GREATER OF THE AMOUNT YOU PAID TO MIKEROUTER FOR THE SERVICE THAT GAVE RISE TO THE CLAIM DURING THE 12 MONTHS BEFORE THE LIABILITY AROSE OR ONE HUNDRED US DOLLARS (USD $100). THE LIMITATIONS IN THIS SECTION APPLY ONLY TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.
11.4 You agree to indemnify, defend, and hold us, our affiliates, employees, and licensors (if any) harmless against any liabilities, damages, and costs (including reasonable attorneys’ fees) payable to a third party arising out of: (a) a breach by you or any user of your account (including your end users and customers) of these Terms or any applicable Model Terms; (b) your violation of applicable laws and regulations or third-party rights, including any intellectual property, publicity, confidentiality, property, or privacy right; (c) your fraud or other illegal acts; or (d) your intentional misconduct or gross negligence, in each case to the extent permitted by applicable law.
11.5 Each provision of these Terms that provides for a limitation of liability, disclaimer of warranties, or exclusion of damages is intended to and does allocate the risks between you and MirAPI under these Terms. This allocation is an essential element of the basis of the bargain between the parties. Each of these provisions is severable and independent of all other provisions of these Terms, and the limitations in this Section 11 will apply even if any limited remedy fails of its essential purpose.
11.6 MirAPI’s affiliates, suppliers, licensors, and employees are intended third-party beneficiaries of this Section 11. Model Providers are intended third-party beneficiaries of Sections 4, 5, 6, and this Section 11, to the extent such provisions relate to your, your end users’, or your customers’ access to or use of the applicable Models, compliance with applicable Model Terms, Inputs, Outputs, usage restrictions, or limitations of liability. Except as expressly set forth in these Terms, no other provisions are intended to, nor will they be interpreted to, provide or create any third-party beneficiary rights.
12. Export Control and Sanctions
You understand that your use of the Services, including providing Inputs to and obtaining Outputs via the Services, may be subject to applicable export control and sanctions laws and regulations (collectively, “Export Control and Sanctions Laws”). You recognize that you are solely responsible for complying with all applicable Export Control and Sanctions Laws related to the access and use of the Services by you and your end users. You represent and warrant that the Services will not be used in or for the benefit of, or exported, re-exported, or transferred: (a) to or within any country subject to comprehensive sanctions under Export Control and Sanctions Laws; or (b) to any party on any restricted party lists under any applicable Export Control and Sanctions Laws that would prohibit your use of the Services. The Services shall not be used for any end use prohibited by applicable Export Control and Sanctions Laws, and your and your end users’ Inputs shall not include material or information that requires a license for release or export.
13. Suspension and Termination
13.1 In response to your violation of these Terms or other service terms, or where your use of the Services could cause risk or harm to MirAPI, our users, Model Providers, or anyone else, MirAPI reserves the right to independently judge and take measures against you, including but not limited to issuing warnings, setting deadlines for correction, restricting account functions, suspending usage, revoking API Credentials, closing accounts, prohibiting re-registration, and deleting relevant content. For behaviors suspected of violating laws and regulations or involving illegal activities, relevant records will be retained, and reports will be made to the competent authorities in accordance with the law, cooperating with their investigations. You shall be responsible for any legal liabilities, claims, demands, or losses asserted by third parties resulting therefrom, and you shall compensate us for any losses incurred, including but not limited to litigation fees, arbitration fees, attorney fees, notary fees, announcement fees, appraisal fees, travel expenses, investigation and evidence collection fees, compensation, liquidated damages, settlement costs, and administrative fines incurred in protecting our rights. However, if we are also at fault, liability shall be apportioned between you and MirAPI based on the degree of fault, as determined under applicable laws and regulations.
13.2 Termination by You. You may terminate your account at any time through your account settings or by contacting us at support@mirapi.ai. If you terminate your account, you remain obligated to pay all outstanding fees, if any, incurred prior to termination relating to your use of the Services.
13.3 Termination by Us; Effect on Credits. If you materially violate any provision of these Terms, your permission from us to use the Services may be terminated, and any unused Credits will not be refunded. In addition, MirAPI may suspend or terminate your access to the Services where required by law, by regulatory authorities, or by the circumstances described in these Terms, and may modify or discontinue the Services as described in Section 1.4. Except where your account is terminated due to your violation of these Terms, any purchased Credits remaining in your account upon termination of your account will be refunded to you through your original payment method within thirty (30) days of termination; Promo Credits are not refundable in any circumstance.
13.4 Survival. Upon termination of these Terms or your account, the provisions of these Terms that by their nature should survive — including Sections 3.4, 3.5, 4, 5, 6, 8, 9, 11, 12, 13, 14, and 15, along with the Privacy Policy and any other accompanying agreements — will survive.
14. Governing Law and Jurisdiction
14.1 The establishment, execution, interpretation, and resolution of disputes under these Terms shall be governed by the laws of the People’s Republic of China in the mainland, without regard to conflict of law principles.
14.2 In the event of a dispute arising from the signing, performance, or interpretation of these Terms, the parties shall make efforts to resolve it amicably through negotiation. If negotiation fails, either party has the right to file a lawsuit with the people’s court having jurisdiction over the location of the registered office of Benxi HengFeng Network Technology Co., Ltd.
15. Miscellaneous
15.1 In order to provide you with better services or to comply with changes in national laws, regulations, policy adjustments, technical conditions, product functionalities, and other requirements, we may revise these Terms from time to time. The revised content will form an integral part of these Terms. Once announced, the revised Terms replace the original terms. For changes that materially modify your rights or obligations, we will provide advance notice via email, in-site notification, or website announcement. Please refer to the latest version of these Terms on the official website. If you do not accept the modified terms, please stop using the Services immediately. Your continued use of the Services will be considered your acceptance of the modified terms. Disputes arising under these Terms will be resolved in accordance with the version of these Terms in effect at the time the dispute arose.
15.2 These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire and exclusive understanding and agreement between you and MirAPI regarding your use of the Services. You may not assign or transfer these Terms or your rights under these Terms, in whole or in part, by operation of law or otherwise, without our prior written consent. We may assign these Terms to an affiliate or in connection with a merger, acquisition, or sale of assets, subject to applicable law. The failure to require performance of any provision shall not affect our right to require performance at any other time thereafter, nor shall a waiver of any breach or default of these Terms constitute a waiver of any subsequent breach or default or of the provision itself. Section headers are for convenience only and shall not affect the interpretation of any provision. If any part of these Terms is held to be invalid or unenforceable, that part will be given effect to the greatest extent possible, and the remaining parts will remain in full force and effect.
